1. Scope and Purpose

1.1 These Terms and Conditions (“Terms”) govern access to and use of the Usercentrics Community Platform (“Community Platform”), operated by Usercentrics GmbH and its affiliates (together referred to as "Usercentrics").

1.2 The Community Platform provides a space for discussion, exchange of information, and community support regarding topics relevant to Usercentrics services and general compliance and consent management practices.

1.3 The Community Platform is intended for business users only (B2B). Individual consumers are excluded from participation.

2. Registration and Account

2.1 Access to the Community Platform requires creating a Usercentrics Community account.

2.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2.3 Usercentrics reserves the right to refuse registration, suspend, or terminate any account at its sole discretion.

3. Community Conduct

3.1 You agree to use the Community Platform lawfully and respectfully.

3.2 You must not:

• Post unlawful, defamatory, abusive, harassing, discriminatory, or otherwise inappropriate content.

• Infringe intellectual property rights.

• Share confidential or proprietary information without authorization.

• Engage in advertising, spamming, or promotion of unrelated products or services.

3.3 Usercentrics reserves the right to edit, moderate, or remove any content that violates these Terms or is deemed inappropriate.

4. Content Ownership and Rights

4.1 You retain ownership of the content you post.
However, by posting, you grant Usercentrics a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content within the Community Platform and for promotional purposes.

4.2 Usercentrics is not obligated to monitor all content but reserves the right to remove any material at any time.

5. No Legal or Professional Advice

5.1 Content shared within the Community Platform is provided by other users and does not constitute legal, compliance, or professional advice.

5.2 Usercentrics does not guarantee the accuracy, completeness, or usefulness of any content available through the Community Platform.

5.3 Users should seek independent professional advice where necessary.

6. Privacy and Data Protection

6.1 Usercentrics will process personal data in accordance with its [Privacy Policy Link].

6.2 By participating in the Community Platform, you consent to the processing of your personal data for Community management purposes.

6.3 Personal or sensitive information should not be shared publicly in the Community Platform.

7. Intellectual Property

7.1 All intellectual property rights in the Community Platform (software, design, logos, trademarks) belong to Usercentrics or its licensors.

7.2 You may not copy, modify, distribute, or create derivative works based on the Community Platform without prior written consent.

8. Termination

8.1 Usercentrics may suspend or terminate your access to the Community Platform at any time, for any reason, without liability.

8.2 Upon termination, any licenses granted to Usercentrics for your posted content shall survive.

9. Modifications to Terms

9.1 Usercentrics may amend these Terms at any time. Notice of changes will be provided within the Community Platform.

9.2 Continued use of the Community Platform after changes constitutes acceptance of the revised Terms.

10. Limitation of Liability

10.1 Usercentrics provides the Community Platform “as is” without warranty of any kind.

10.2 Usercentrics disclaims liability for any damages arising from your use of or reliance on the Community Platform.

11. Governing Law and Jurisdiction

11.1 These Terms are governed by the laws of Germany, excluding its conflict of laws principles.

11.2 Exclusive jurisdiction for any disputes lies with the courts in Munich, Germany.
